Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Open Protocol Labs, LLC ("we," "us," or "our") regarding your use of Scribe ("the Service"), our work-evidence aggregation platform accessible at getscribe.ai and through our desktop application.

By clicking "Create account," "Sign up," or otherwise accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our Service.

Description of Service

Scribe is a timeline-based work-evidence aggregation platform that automatically captures and organizes work activities from multiple sources including git repositories, file systems, and AI coding tool conversations. Our Service includes:

• Desktop application for local data collection
• Web platform for timeline visualization and analysis
• Team collaboration and multi-device sync features
• Invoice generation with work evidence
• Project organization and time tracking capabilities

Account Responsibilities

When you create an account with us, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account credentials
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account
• Use the Service only for legitimate business and personal purposes

You must be at least 18 years old to use our Service. If you are using our Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Acceptable Use

You agree not to:

• Use our Service for any illegal purpose or in violation of any applicable laws
• Abuse, harass, threaten, impersonate, or intimidate other users
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated systems (bots, scrapers) to access our Service without permission
• Reverse engineer, decompile, or attempt to extract source code from our Service
• Transmit viruses, malware, or other malicious code
• Upload content that infringes on intellectual property rights
• Interfere with or disrupt the Service's functionality
• Use the Service to store or transmit sensitive personal information of others without proper consent

Subscriptions and Billing

Subscription Plans

We offer various subscription plans including a Pro plan ($12/month), Team plans, and Lifetime options. All subscriptions include a 14-day free trial for Pro features.

Payment Processing

All payments are processed securely through Stripe. We do not store your payment card details. By subscribing, you authorize us to charge your payment method for the subscription fees.

Auto-Renewal and Cancellation

Subscriptions automatically renew at the end of each billing period unless cancelled. You can cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

Refunds

We offer refunds within 30 days of purchase for annual subscriptions. Monthly subscriptions are generally non-refundable, but we may provide refunds at our discretion for exceptional circumstances. Lifetime purchases are non-refundable after 30 days.

Service Availability

We strive to maintain high service availability, but cannot guarantee uninterrupted access to our Service. We may experience downtime for maintenance, updates, or unforeseen technical issues.

Beta Service Notice: Scribe is currently in private beta. During this phase, the Service is provided on a best-effort basis without service level agreements. Features may change, and temporary outages may occur as we continue development.

Intellectual Property

Your Data

You retain ownership of all data, content, and work evidence that you provide to or generate through our Service. You grant us a limited license to use, process, and display this data solely to provide our Service to you.

Our Service

We own all intellectual property rights in our Service, including the software, design, trademarks, and any content we create. You may not use our intellectual property without permission.

Third-Party Content

Our Service may include content or integrations from third parties. You are responsible for complying with any applicable terms for such third-party content.

Data Protection and Indemnification

Mutual Responsibilities

Both parties agree to maintain appropriate security measures to protect data and comply with applicable privacy laws. You are responsible for ensuring that any data you provide to our Service is collected and shared in compliance with applicable laws.

Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of our Service, violation of these Terms, or infringement of any rights of third parties.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OUR SERVICE.

Our total liability to you for all claims arising from or relating to our Service shall not exceed the amount paid by you to us in the twelve months preceding the claim.

Beta Limitations: During our beta phase, our liability is further limited, and the Service is provided "as is" with additional disclaimers for experimental features and potential data loss.

Termination

Termination by You

You may terminate your account at any time by contacting us or using account deletion features in our Service. Upon termination, you will have 30 days to export your data before it is deleted from our systems.

Termination by Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our discretion. We will provide reasonable notice when possible.

Effect of Termination

Upon termination, your right to use our Service ceases immediately. We will delete your data in accordance with our Privacy Policy, except as required by law or to resolve disputes.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Changes to These Terms

We may modify these Terms from time to time. When we make material changes, we will notify you via email and post notice on our Service at least 30 days before the changes take effect. Your continued use of our Service after such changes constitutes acceptance of the modified Terms.

For non-material changes (such as clarifications or formatting updates), we may update these Terms without advance notice.

Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of our Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce such provision in the future.
